Seeker Terms of Service

Introduction

This document sets out the Terms of Service (“Terms”) govern your use of the websites, mobile applications and services (collectively, the “Services”) provided by Seeker Pte. Ltd. ("Seeker" or "we" or "us" or "our") who is the owner and operator of https://www.seeker.sg (the "Website") and the Seeker mobile application (the "App").

You (“You” refers to “User” and/or “Agent Partner” as may be applicable) acknowledge and agree that by checking the box next to “I have read and agree to Seeker’s Terms of Service, Privacy Policy and Community Guidelines” and click the “Sign up” button, you are indicating that you have read, understand and agree without limitation or qualification to be bound by these Terms.

Agent Partner refers to salesperson (or commonly known as property agent) registered with Council for Estate Agencies (CEA) in Singapore, who has valid licence, and has been verified by Seeker on his/her credentials. Verification is an easy and simple process. Once verified, Agent Partner will receive a Seeker Verified Badge display next to his/her name/photo.

User refers to any other user of the Website and App (including property agent that has yet to be verified).

These Terms applies to all Users and Agent Partners of the Services. If you are entering into this agreement for and on behalf of a business entity, and the term “you” in this agreement shall mean the business entity on whose behalf you are using the Services, unless the context does not permit. You warrant and represent that you have full capacity and authority to enter into this agreement on behalf of the company or organisation.

These Terms and the Privacy Policy constitute a legally binding agreement (“Agreement”) between you and Seeker. By using the Services in any manner, including but not limited to visiting or browsing the Services, you agree to observe and be bound by these Terms and the Community Guidelines and the additional terms and conditions and policies referenced herein.

Seeker reserves the right to change or modify these Terms at any time. You will be deemed to have agreed to the amended Terms by your continued use of the Services following the date on which the amended Terms are posted here. If you do not accept these terms, you will not be able to use the services. You are advised to print and retain a copy of these terms for future reference.

1. The services

Seeker shall provide you the Services, which typically include but not limited to the following key features:

A. For User, the ability to create and post off-market listing (property that User either owned or have the authority to post to generate indicative interest) and also the ability to browse and interact with Agent Partner and/or other Users relating to the property listings via the chat features or any other methodologies as provided.

B. For Agent Partner, the facility to create on-market listings (properties that Agent Partner has been mandated to formally promote), meaning descriptions of a property that intended for sale or rental transactions; the facility to upload information, images, videos as well as attributes relating to the property listed or to be listed; the ability to enrich, to amend and to delete the listing; ability to receive notifications relating to prospects or leads and to interact with Users relating to the property listings via the chat features or other any methodologies as provided.

C. Both User and Agent Partner have the ability to create and post short video content, subject to compliance with Community Guidelines

D. You certify that you are the authorized person to list the properties and possess the rights or being authorised to all Content associated to said listings. And in doing so authorize and instruct Seeker to make duplicate of and distribution of such listings and all associated Content, and assumes responsibility for the process of duplication and distribution of such listings; and any other features and functionalities provided by Seeker to You from time to time.

E. For the avoidance of doubt, Seeker’s obligations shall be limited only to the provision of the Services and do not in any way include acting on your behalf. Nothing in these Terms is intended to, or shall be deemed to, establish any partnership or joint venture between You and Seeker, appoint either party as the agent of the other, nor authorise either party to make or enter into any commitments for or on behalf of the other party.

F. Seeker may from time to time add, modify, suspend or cease (temporarily or permanently) the provision of any element of the Services upon notice to You. The notice may be in the form of email or announcements or notice on the Website and/or the App.

G. Seeker shall have no obligation to notify You in the event of an unplanned service downtime. In the event of a planned service downtime in respect of the Services, Seeker shall use its reasonable endeavours to notify you in advance provided that Seeker is able to do so.

H. You agree that the Services are provided on a reasonable effort basis.

I. Access to the Services is granted to User at NO COST, subject to the prevailing policy and any future amendments thereto.

J. Access to the Services is granted to Agent Partner on a trial basis ("Trial") where Agent Partner is free to use the Services during the entire Trial period. For avoidance of doubt, the Trial period ending date is 30 September 2026 regardless the date of signing up by Agent Partner. Seeker might choose to extend the Trial period, which will be communicated to Agent Partner clearly in advance before the ending of Trial period. Seeker also commit that the Trial period will not be shortened, i.e. ending earlier than 30 September 2026. The Agent Partner acknowledges and agrees that during the Trial period, these Terms shall apply, as well as the following specific terms:
i. access to the Services during the Trial will be provided at NO COST to the Agent Partner;
ii. such access is solely for the purpose of offering the Agent Partner a preview demonstration of the functionality and features of the Services; iii. the functionality of the Services during a trial may be limited or restricted; and
iv. at the completion of the Trial period, continued access to the Website and/or Services may be subject to payment of fees or charges.
v. Agent Partner will be informed clearly in advance of such imposition of fees or charges to the changes taking effect.
vi. If after the Trial period you wish to terminate your access, kindly inform us by providing written notice of non-renewal at least thirty (30) days' before the expiration of your Trial period. All such notices should be made to [email protected].

2. Registration

A. In order to use the Services, you shall first be required to provide a valid email address on the Website or on the App, or use third party access as provided. A one time verification code will be sent to the registered email for every access.

B. Your Agreement to use the Services commences on the date of successful registration or signing up.

C. Seeker reserves the right to conduct verification and security procedures in respect of all information provided by you to Seeker. If Seeker has reason to believe that the information provided by you to register and use any of the Services breaches or is likely to breach any of the provision in these Terms, Seeker at its sole discretion may take any action that it deems appropriate including without limitation, to terminate the Agreement.

D. For Agent Partner, you acknowledge and agree that you must be a licenced Singapore property agent and associated with an agency registered with the Council for Estate Agencies ("CEA"). Please be reminded that every licensed estate agent and registered salesperson (collectively, the "Salespersons") must act in accordance with the provisions of the Estate Agents Act 2010, the Estate Agents (Estate Agency Work) Regulations 2010 and the guidelines issued by the CEA. In particular, any Salesperson who advertises a property is required to comply with the Practice Guidelines on Ethical Advertising and the Code of Ethics & Professional Client Care. Please visit www.cea.gov.sg for the full text of the relevant legislation, policies, standards and guidelines ("Applicable Laws"). It is important for all estate agencies and Salespersons to be well-versed with the Applicable Laws. It is an offence for any individual to carry out estate agency work without a valid registration. Your registration as an Agent Partner is only complete after the verification of your identity including the CEA issued licence number, government issued IDs and biometric data as needed. This step is one of our risk management measures to ensure authenticity of communication between Users and our Agent Partners.

E. At any time upon notice to you, Seeker may require you to execute any further documents to confirm your acceptance of, or give full effect to, these Terms.

3. Your obligations

A. You shall at all times use the Services in accordance with these Terms.

B. You shall ensure that your use of the Services, including the submission of any information, data, images, videos, audio, files, links to external websites, communication between you and with prospective Buyers and/or Tenants, and all other material of any format (collectively, “Content"):
i. comply with all applicable laws and legislations;
ii. comply with Seeker’s Community Guidelines;
iii. do not infringe any intellectual property rights or other proprietary rights of any third party; take down the Content immediately should there be a clear violation reported and upon verification of the violation;
iv. not reasonably be deemed to:
a. be offensive, illegal, inappropriate or in any way:
b. promote racism, bigotry, hatred or physical harm of any kind against any group or individual;
c. harass or advocate harassment of another person;
d. display pornographic or sexually explicit material;
e. promote any conduct that is abusive, threatening, obscene, defamatory or libellous;
f. promote any illegal activities;
g. provide instructional information about illegal activities, including violating someone else’s privacy or providing or creating computer viruses;
h. promote or contain information that you know or believe to be inaccurate, false or misleading;
i. engage in the promotion of contests, sweepstakes and pyramid schemes, without our prior written consent;
j. exploit people in a sexual or violent manner;
k. invade or violate any third party’s right to privacy; and
l. transmit "junk mail", or "chain letters", or unsolicited mass mailing, messaging or “spamming";
v. You hereby indemnifies Seeker for all losses, liabilities, costs and expenses (including but not limited to legal costs) suffered or incurred by Seeker which arise directly or indirectly from a breach by you of this clause.

C. Unless otherwise explicitly stated by Seeker, we do not vet or verify the accuracy, correctness and completeness, edit or modify any Content or any other information, data and materials created, used and/or published by you on the Website and/or the App to determine whether they may result in any liability to any third party. You hereby warrants that you have the right to use all such information and materials.

D. Seeker reserves the right to refuse to publish any Content, or to at any time remove or edit a Submission (in whole or in part), if Seeker has reason to believe that your use of the Services breaches these Terms.

E. You shall not:
i. at any time use the Services with the purpose of impersonating another User or Agent Partner; and
ii. use the information made available to you through its use of the Services for any purpose other than for the purposes of procuring benefit out of the Services; and
iii. do anything whatsoever which shall or is likely to impair, interfere with, damage, or cause harm or distress to any persons using the Services or in respect of the community established by Seeker.

F. Seeker takes the breaches of this clause 3 very seriously and therefore reserve the right to take any action that we deem necessary. This can include, without limitation, suspension or termination of your use of the Services. In certain circumstances Seeker may choose to instigate legal proceedings as appropriate if there is illegal use of the Services, or disclose information to any third party who is claiming that any material posted or uploaded by you to our site constitutes a violation of their intellectual property rights or of their right to privacy.

4. License grant and restrictions

Subject to your compliance with these Terms, Seeker grants you a limited, non-exclusive, revocable (with or without cause), non-transferable right and licence to use the Services. You shall use the Services in accordance with these Terms and shall not:

A. Upload any Content that violates or infringes another party’s rights of publicity, privacy, copyright, trademark or any other intellectual property right.

B. Copy, decompile, reverse engineer, disassemble and attempt to derive the source code of, decrypt, interfere with, or disrupt the integrity or the performance of the Services.

C. Make any modification, adaptation, improvement, enhancement, translation or derivative work from the Services.

D. Violate any applicable laws, rules or regulations in connection with your access or use of the Services.

E. Use the Services in violation of or to circumvent any sanctions or embargo.

F. Remove, alter or obscure any proprietary notice (including any notice of copyright and trademark) of Seeker or its affiliates, partners, suppliers or licensors.

G. Use the Services for any purpose for which it is not designed or intended.

H. Use the Services to create or promote a product, service or software that is, directly or indirectly, competitive with or in any way a substitute for the Services or any services, product or software offered by Seeker.

I. Use any proprietary information or interfaces of Seeker or any other intellectual property of Seeker in the design, development, manufacture, licensing or distribution of any application, accessories or devices for use with the Services.

J. Use the Services to send, post, or otherwise communicate any Content which is offensive, indecent, threatening, abusive, insulting, harassing, defamatory, libellous, deceptive, fraudulent, tortious, obscene, profane, invasive of another person’s privacy, or racially, ethnically or otherwise objectionable.

K. Use the Services to send automated, unsolicited or unauthorised messages, advertising or promotional material or any junk mail, spam or chain letters.

L. Upload to, or transmit through the Services any data, file, software or link that contains or redirects to a virus, Trojan horse, worm or other harmful components.

M. Use any scraper, robot, bot, spider, crawler or any other automated device or means to access, acquire, copy or monitor any portion of the Services, or any data or Content found or access through the Services.

N. Collect any information in respect of other users without their consent.

O. Commit any act to avoid paying any applicable fees and/or charges.

P. Attempt to and/or engage in any activity or act that is intended to abuse, abuses or inappropriately manipulates any promotion, campaign and/or discount codes offered through the Services. Such act and activities include but are not limited to: creating fake or duplicate accounts; generating fake orders; buying and reselling your own inventory.

Q. Authorise or encourage anyone to do any of the foregoing. Seeker takes the breaches of this clause 4 very seriously and therefore reserve the right to take any action that we deem necessary. This can include, without limitation, suspension or termination of your use of the Services and/or access to the Website. In certain circumstances Seeker may choose to instigate legal proceedings as appropriate.

5. Your interaction with buyers and/or tenants

A. Agent Partner / User shall ensure that any listing contains sufficient information to allow a Buyer/Tenant to make an informed decision.

B. You further warrants and represents that the Content provided shall be correct, complete, accurate and up to date. Similarly for information relating to the profile of Agent Partner. In the event the information in the listing or profile of Agent Partner is incorrect, incomplete, inaccurate or out of date, then Agent Partner and/or User must immediately take all necessary steps to rectify such information and also inform Seeker of such rectification.

C. You shall at all times use the Services in accordance with the applicable law and legislation and in particular, all applicable data protection and property leasing legislation.

D. Agent Partner and/or User acknowledges that Seeker does not have any control of and therefore cannot reasonably accept any liability in respect of the behaviour, response or actions of the Buyers/Tenants. Seeker does not warrant, represent or guarantee that Agent Partner and/or User will be able to receive favourable responses to their listing using the Services.

E. You shall at all times keep all information including without limitation, the Buyers/Tenants’ Profiles, communication and correspondences between you, Seeker and the Buyers/Tenants, and all information relating to the Buyers/Tenants and the purchase/rental process secure and confidential.

F. The Services shall be personal to you and/or your organisation and you and/or your organisation has no right whatsoever to resell the Services to any third party for any reason without the express written approval by Seeker.

G. For Agent Partner, you acknowledge and agree that it is your responsibility to ensure you enter into any necessary contractual arrangements with Buyers/Tenants. The terms of any contractual arrangements shall be negotiated and agreed between you and the Buyer/Tenant directly. In the event there is a dispute between you and any Buyer/Tenant (whether it relates to the contractual arrangements between the parties or otherwise) – collectively, a "Dispute" - you agree that Seeker is not liable for any loss or damage suffered by you resulting from any such Dispute and you hereby releases and holds harmless Seeker from any such loss or damage or any liability in relation to any Dispute.

H. You (Agent Partner) hereby indemnifies Seeker against all losses, liabilities, costs and expenses (including but not limited to legal costs) suffered or incurred by Seeker which arise directly or indirectly from any Dispute, or any breach by you of clause 5.

I. For User, you acknowledge and agree that it is your responsibility to ensure you enter into any necessary contractual arrangements with Agent Partner of your choice. The terms of any contractual arrangements shall be negotiated and agreed between you and the Agent Partner directly. In the event there is a dispute between you and any Agent Partner (whether it relates to the contractual arrangements between the parties or otherwise) – collectively, a "Dispute" - you agree that Seeker is not liable for any loss or damage suffered by you resulting from any such Dispute and you hereby releases and holds harmless Seeker from any such loss or damage or any liability in relation to any Dispute.

J. You (User) hereby indemnifies Seeker against all losses, liabilities, costs and expenses (including but not limited to legal costs) suffered or incurred by Seeker which arise directly or indirectly from any Dispute, or any breach by you of clause 5.

6. Suspension, termination and account deletion

A. You may terminate this Agreement at any time by providing us with written notice to cancel your use of this Service. All such notices should be made to [email protected].

B. Seeker reserves the right to, at its sole discretion, and without liability:
i. Suspend or terminate your Account and/or your access to the Services at any time, for any breach of these Terms, Community Guidelines, any additional terms and conditions and policies.
ii. Suspend or terminate your Account and/or your access to the Services at any time, for any reason, and without advance notice.
iii. Change, modify, suspend or discontinue, whether temporarily or permanently, the whole or any part of the Services at any time, for any reason, and without advance notice.
iv. Suspend or terminate your Account and/or your access to the Services at any time, in the event of any act, threats of, verbal and/or written abuse against any Seeker’s user or Agent Partner, Seeker’s employees, representatives and/or officer.

C. You acknowledge and agree that if you terminate your Account or if we suspend or terminate your Account, you will lose any information associated with your Account, including your uploaded Content. It is your responsibility to backup the Content which you uploaded to the Services.

D. Upon termination, all licenses and rights granted to you in these Terms will immediately cease.

E. If you no longer want to use our Services again, you can initiate the account deleteion process via our App. Do note that once you complete the account deletion process, you will lose your access to your account and the data associated with your account, including your postings with immediate effect.

7. Warranties

You hereby warrant that:
A. You have the right and capacity to enter into and be bound by these Terms; and

B. You shall comply with all applicable laws regarding the use of the Services; and

C. You agree to abide by the rules and reasonable directions of Seeker relating to the Services as may be provided by Seeker from time-to-time.

D. Seeker relies on other service providers (such as network provider, data centres, telecommunication providers) to make the Services available to you. Whilst Seeker takes all reasonable steps available to it to provide you with a good level of service, Seeker does not guarantee that such service shall be fault free or uninterrupted at all times. Seeker therefore shall not be liable in any way for any losses you may suffer as a result of delays or failures of the Services as a result of Seeker’s service providers.

E. Except as expressly set out herein, to the maximum extent permitted by law, Seeker expressly excludes all representations, warranties, obligations and liabilities in connection with the Services, including but not limited to the warranties of merchantability, non-infringement of intellectual property, accuracy, completeness, fitness for a particular purpose, and any warranties arising by statute or otherwise in law or from course of dealing, course of performance, or use of trade are hereby excluded and disclaimed.

8. Limitation of liability

A. Subject to clauses as defined below, the maximum aggregate liability of Seeker (including its respective agents, sub-contractors or representatives) under, arising from or in connection with the provision of the Services and/or these Terms, whether arising in contract, tort (including negligence) or otherwise, shall not exceed a sum equivalent to the fees or charges received from you by Seeker during the Trial period. For the Trial period, the access to the Services are provided at NO COST to Agent Partner. Access to the Services is granted to User at NO COST, subject to the prevailing policy and any future amendments thereto.

B. To the extent permitted by law, Seeker expressly excludes:
i. all conditions, warranties and other terms whether expressed or which might otherwise be implied by statute or common law;
ii. any liability for indirect or consequential loss which are losses incurred as a side effect of the main loss or damage;
iii. loss of profit;
iv. loss of income or revenue;
v. loss of business or contracts;
vi. loss of data;
vii. loss of goodwill and reputation;
viii. loss of expectation;
ix. loss of opportunity; or
x. loss arising out of or in connection with wasted management or office time;
xi. arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable, provided that this condition shall not prevent claims for loss of or damage to your tangible property or any other claims for direct financial loss that are not excluded by any of the categories set out above.

9. Intellectual property rights

A. Seeker and its licensors own all rights in the intellectual property rights relating to the Services, including but not limited to all software forming part of the Website and the App ("Software"). Those works are protected by copyright laws and treaties around the world. Nothing in this Agreement will serve to transfer from Seeker to you any of the Software, and all right, title and interest in and to the Software will remain exclusively with Seeker and/or Seeker’s licensors. All rights in and to the Software not expressly granted to you are reserved by Seeker and the relevant third party licensors.

B. You may draw the attention of other Users to Content or materials posted on the Website and/or the App. You must not use any part of the Content of other users and all materials on the Services for any purpose other than accessing the Services or obtaining a benefit from the Services in accordance with these Terms.

C. You shall not, and shall procure that your Collaborators shall not:
i. modify, translate, create or attempt to create derivative copies of or copy the Software in whole or in part;
ii. reverse engineer, decompile, disassemble or otherwise reduce the object code of the Software to source code form;
iii. distribute, sub-licence, assign, share, timeshare, buy, sell, rent, lease, transmit, grant a security interest in or otherwise transfer the Software or your right to use the Software.

D. You warrant that you own or have the right or licence to use the intellectual property rights in all Content provided to Seeker.

E. You hereby grant Seeker, a perpetual, sub-licensable, worldwide, royalty-free licence to enhance, publish and make available on the Website and App all Content provided by you to Seeker in respect of the Services, for the purpose of providing the Services to you.

F. You hereby indemnify Seeker against all losses, liabilities, costs and expenses (including but not limited to legal costs) arising from or incurred by reason of any infringement of any intellectual property right by the use or possession of all the Content provided by you to Seeker.

10. Data protection & privacy policy

A. You and Seeker shall comply with the Personal Data Protection Act 2012 and all other successor legislation and regulation in the performance of the obligations set out under these Terms.

B. Seeker processes personal data (as such term is defined in the Personal Data Protection Act 2012) which it collects in the course of providing the services in accordance with its standard Privacy Policy which is accessible on the Website and the App.

11. General

A. If Seeker fails at any time to insist upon strict performance of its obligations under these Terms, or if it fails to exercise any of the rights or remedies to which it is entitled to under these Terms, this will not constitute a waiver of any such rights or remedies and shall not relieve you from compliance with such obligations. No waiver by Seeker of any of these Terms shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing.

B. All notification and communication to Seeker should be sent to the contact details made available to you on the Website and/or the App.

C. If any of these Terms are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent, be severed from the remaining terms, conditions and provisions which shall continue to be valid to the fullest extent permitted by law.

D. These Terms represent the entire agreement between you and Seeker in respect of your use of the Services and shall supersede any prior agreement, understanding or arrangement, whether oral or in writing.

E. You acknowledge that in entering into these Terms, You have not relied on any representations, undertaking or promise given by or implied from anything said or written whether on the Website and/or the App, the Internet or in negotiation between the parties except as expressly set out in these Terms.

F. Seeker may amend the Terms in this Agreement at any time. Such amendments shall be effective once they are posted herein. It is your responsibility to review the Terms of Service and Privacy Policy regularly. Your continued use of the Services after any such amendments, whether or not reviewed by you, shall constitute your agreement to be bound by such amendments.

G. These Terms shall be governed by and construed in accordance with Singapore law and shall be subject to the exclusive jurisdiction of Singapore courts.
